Welcome to tagbarn.com where you can generate and track QR Codes (QR Code is registered trademark of DENSO WAVE INCORPORATED). This terms and conditions governs all use of the http://www.tagbarn.com/ site and your relationship with this website and its affiliates (collectively «QRcode» including content, applications or service provided to user «Service» or «Site»), owner of the site Stueynet Inc (collectively «tagbarn») and you are subject to these Terms of Service and Privacy Policy. By accessing or using any part of the Web site, each person or entity (collectedly «you» «user» «company» ) hereby agrees to become bound by the terms and conditions of this agreement.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE WEBSITE. IN ORDER TO USE THIS SITE YOU MUST SIGNIFY YOUR AGREEMENT TO THESE TERMS AND CONDITIONS.

If you do not or cannot agree to these Terms of Use, the Privacy Policy or any other rules, guidelines and directions found throughout the site, do not access or otherwise use this Site or the Services or any information contained on this Site.

Opening a free or paid Account on Site

By signing up on the Website and creating account to use the Service, you are responsible for maintaining the security of your account and you agree that your login credentials are personal and non transmissible. You are fully responsible for all activities that occur under your account and any other actions taken in connection with your account or Service.

Furthermore, you must not describe or assign keywords to your account in a misleading or unlawful manner, including in a manner intended to trade Service on the name or reputation of others, and tagbarn may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause tagbarn liability.

You must immediately notify tagbarn of any unauthorized uses of your account or any other breaches of security. tagbarn will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

tagbarn reserves the right to terminate any account or login credential if it remains inactive for a period longer than one year.

Responsibility for published content

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags or other materials (“content”) whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such content originated. This means that you, and not us, are entirely responsible for all content that you upload, post, transmit via our service. We do not control the content published via our service and, as such, we can’t guarantee the accuracy, integrity or quality of such content. 

The service may provide or third parties may provide links to other World Wide Web sites or resources. Because we have no control over such sites and resources you acknowledge and agree that we are not responsible for the availability of such external sites or recourses.

Fees and payment

Some of the features on the Service require payment of fees. By signing up for a account you can start track your QR Codes and you agree to pay tagbarn d.o.o. the license fee (monthly or annually Subscription) in exchange for the services provided. Website accept credit card payments through PayPal transactions or direct bank transmissions. All paid services (monthly or annually) will automatically renew at the end of its term, unless User requested cancellation through User account page at any time prior to the end of the current service subscription expire.

You can use MasterCard, Visa or American Express credit card for paying Service through PayPal. All accounts has to be manually renewed by User at least on the last day of period as indicated. The account owner of paid Service will receive an email notification about expiring the Service 10 (ten), 3 (three) and 1 (one) day before termination.

User acknowledges and agrees that if tagbarn is unable or cannot process User’s credit card payment or PayPal transaction for any reason, tagbarn may suspend or cancel User’s Subscription. It is User responsibility to keep contact and payment information complete and accurate. Each User of paid service hereby warrants that the credit card information provided by User is correct and ensures that will promptly update account payment informations of any changes about credit card information or other contact information.

The account owner of paid Service will receive an email receipt upon successfully Subscription purchase. tagbarn uses a third-party intermediary to manage credit card processing and this intermediary is not permitted to store, retain, or use Your billing information except to process Your credit card information for tagbarn.

tagbarn reserves the right to change the payment terms and fees at its sole discretion, provided that any such change shall become effective at the end of the then-current term of User’s Subscription.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies or duties. You agree to pay for any such taxes that might be applicable to your use of the Service and payments made by you herein. Payments will be charged on the day you Sign up for a Service and will cover the use of that Service for a monthly or annual period as indicated. Service fees are not refundable.

All the dates and times shown in the application and accounting documents related to account plan management (including payment dates and subscription start, renewal and expiration dates) are displayed in the Time-zone chosen during registration process.

Closing Your Account

You may close your Account at any time through admin panel. Following this action, all the services associated with your account and your account shall be susspended.

Support

Paid service include access to email support. “Email support” means the ability to make requests for technical support assistance by ticket via one of our feedback/support mechanisms at any time (with reasonable efforts by tagbarn to respond within one business day if possible) concerning the use of paid Service. All account support will be provided in accordance with tagbarn standard account practices, procedures and policies.

Termination

tagbarn may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your account (if you have one), you may simply discontinue using the Website.

Notwithstanding the foregoing, if you have a paid Services account, such account can only be terminated by tagbarn if you materially breach this Agreement and fail to cure such breach within thirty (30) days from tagbarn’s notice to you thereof; provided that, tagbarn can terminate the Website immediately as part of a general shut down of our service.

Intellectual Property and ownership

This Agreement does not transfer from tagbarn or Site or Service to you any tagbarn or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with tagbarn and all other trademarks, service marks, graphics and logos used in connection with Site are trademarks or registered trademarks of tagbarn or tagbarn’s licensors.

Website content on the Site is provided to you “as is” for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. tagbarn reserves all rights not expressly granted in and to the Site and the Site Content.

Disclaimer of Warranties

The Website is provided “as is”. tagbarn make no warranty that: a) the service will meet your requirements; b) the service will be uninterrupted, timely, secure or error-free; c) the results that may be obtained from the use of the service will be accurate or reliable; d) the quality of any products, services, information or other materials purchased or obtained by you thorough the service will meet your expectations and e) any errors in the software will be corrected. tagbarn and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement.You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.

Limitation of Liability

In no event will tagbarn, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to tagbarn under this agreement during the twelve (12) month period prior to the cause of action. 

You understand and agree that tagbarn shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages including damages for loss of profits, goodwill, use, data or other intangible losses resulting from: a) the use or the inability to use the service; b) unauthorized access to or alteration of your transmissions or data c) statements or conduct of any third party on the service or d) any other matter relating to the service. 

tagbarn shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty

You represent and warrant that (i) your use of the Website will be in strict accordance with the Website Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

Right to Modify

tagbarn shall have the right to modify these Terms of Use, the Privacy Policy or other rules, guidelines and directions at any time. Your use of the Service or Site following such posting shall be deemed to constitute your acceptance of such modification. These Terms of Use may not otherwise be changed or modified, except in a writing signed by an authorized representative of tagbarn.

Indemnification

You agree to indemnify and hold harmless tagbarn, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement. Miscellaneous This Agreement constitutes the entire agreement between tagbarn and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of tagbarn, or by the posting by tagbarn of a revised version.
